Purchase Contract


GENERAL CONDITIONS

1. Scope
1.1 These general conditions regulate the contractual relationship between the customer (hereinafter referred to as the "customer") and UAB "Konica Minolta Baltia," legal entity code 110042632, J. Jasinskio g. 16A, LT-03163 Vilnius, Lithuania (hereinafter referred to as "Konica Minolta") regarding the purchase of Konica Minolta products online on the website www.konicaminolta.lt/shop (hereinafter referred to as the "platform").
2. Use of the Platform
2.1 To enter into a purchase agreement for the products offered on the platform, the customer must provide accurate, detailed, and correct identifying information for their company. If the customer's provided information changes, they must promptly notify Konica Minolta via email at support.eshop@konicaminolta.lt.
2.2 Konica Minolta reserves the right to refuse to enter into a purchase agreement if:
- The customer is an individual person;
- The customer's representative is not authorized to enter into contracts;
- The customer's registration information is inaccurate, incomplete, or incorrect;
- The customer's creditworthiness is insufficient;
- The customer repeatedly fails to fulfill their contractual obligations, disregarding warnings.
2.3 By providing information and entering into this agreement, the customer guarantees that they have the authority to represent the specified legal entity and have documents to confirm this.
2.4 The customer is prohibited from processing any data on the platform that (i) is illegal, provocative, defamatory, unlawful, threatening, harmful, or otherwise prohibited, (ii) the customer is not authorized to process under legal requirements or agreements, (iii) violates the rights of third parties, including but not limited to intellectual property rights and trade secrets, (iv) contains viruses or other harmful components.
3. Placing an Order and Confirmation on the Platform
3.1 The platform allows the customer to enter into an agreement with Konica Minolta for the purchase of multifunctional copiers, printers, materials, and/or software (hereinafter referred to as "products").
3.2 Considering the technical specifications of the product, appropriate options, printing volume advertised on the platform, and prices, the customer selects the products that best meet their requirements and expectations. Konica Minolta is not responsible for the customer's choices on the platform. The customer must verify compatibility with their internal IT systems at their own risk.
3.3 By completing the order process on the platform, the customer submits a binding offer to Konica Minolta to enter into a purchase agreement for the selected products. This purchase agreement becomes effective only upon Konica Minolta's acceptance.
3.4 Merely receiving the offer does not mean that Konica Minolta has accepted it. Acceptance is valid only when the customer receives confirmation from Konica Minolta via email, clearly indicating that the offer has been accepted. 3.5 Konica Minolta reserves the right to decide at its discretion whether to accept the customer's offer or not. The reasons for rejecting the offer are specified in section 2.2 of this agreement.
3.6 By submitting the offer, the customer agrees to these general conditions.
4. Price
4.1 The purchase price will be indicated on the platform and confirmed by Konica Minolta.
4.2 The price of the products includes product delivery to the customer's specified address and the one-time installation of the products. Products are delivered in export packaging and are insured until they reach the customer's address.
4.3 The invoice is sent to the customer's designated email address.
4.4 Unless otherwise specified, the customer must pay the purchase price in advance according to the invoice received along with the confirmation of the customer's offer, by transferring the amount to the bank account specified in Konica Minolta's invoice.
5. Ownership and Transfer of Risk
5.1 The products are transferred from Konica Minolta to the customer only after the customer has fully and finally paid the purchase price. Konica Minolta retains the right to repossess the products from the customer until the customer has paid the purchase price.
5.2 The risk of loss or damage to the products remains with Konica Minolta until the moment of delivery to the customer.
6. Delivery
6.1 The delivery time for the products indicated on the platform is approximate and non-binding. Konica Minolta does not compensate for any delays or cover damages or losses due to delays.
6.2 The customer agrees that Konica Minolta may subcontract product delivery.
6.3 The customer must notify Konica Minolta of any product discrepancies or unsuitability no later than within 5 business days from the delivery.
7. Warranty for Replacement
7.1 Konica Minolta guarantees that the products conform to the technical specifications indicated on the platform. Upon receiving the products, the customer must promptly inspect them and notify Konica Minolta of any defects or discrepancies.
7.2 Konica Minolta will replace products with defects at its own expense if, upon inspection, it is determined that the defect existed at the time of delivery and was not due to improper use or installation by the customer. This replacement warranty expires if a customer's claim is made more than 12 months after the product delivery date.
7.3 The warranty period starts from the date of product delivery.
7.4 The warranty does not apply to consumables (toner cartridge, image drum/unit, developer, transfer belt/roller, fuser unit) and fast-wearing parts used for the manufacturer's specified time.
7.5 During the warranty period, Konica Minolta covers the replacement of defective parts due to manufacturer's faults and repair costs.
8. Data Protection
8.1 The customer is responsible for the lawful processing of personal data (e.g., email addresses, IP addresses, etc.) performed using the product. Konica Minolta is not responsible for such data and does not process the mentioned personal data.
9. Maintenance
9.1 The customer can use Konica Minolta's support line for product maintenance or repair by paying the prevailing maintenance fee.
10. Liability
10.1 Konica Minolta is liable and will compensate the customer for direct losses as determined by a court decision and does not compensate for any indirect losses (e.g., loss of paper, loss of income or profit, etc.) incurred by the customer due to a breach of this agreement attributed to Konica Minolta.
10.2 Except in cases where Konica Minolta intentionally or grossly violates this agreement, in all other cases, Konica Minolta's liability under this agreement does not exceed the amount equivalent to the monthly fee paid within not more than 12 months before the occurrence of such a breach.
11. Software
11.1 If the customer selects software offered on the platform, Konica Minolta grants a non-exclusive and non-transferable license to use this software. In this agreement, "use" means software installation, transfer, installation, opening, launching, or viewing.
11.2 Konica Minolta and/or its licensors retain all ownership and intellectual property rights to this software.
11.3 The customer may only use the software for their business purposes. In any case, the customer is prohibited from allowing third parties to use the software, selling, renting, sublicensing, or otherwise transferring it to third parties. The customer refrains from any activities, including software modification, translation, conversion into another programming language, tampering with integrity, decompilation, reverse engineering, or allowing third parties to perform any of these activities.
11.4 The customer agrees to use the software in accordance with the licenses and/or terms of use provided on the product screen during software installation (hereinafter referred to as the "end-user license agreement").
11.5 Konica Minolta delivers the software "as is" and does not provide any warranties regarding the software's suitability for any specific use.
12. Final Provisions
12.1 This agreement is governed by the laws of the Republic of Lithuania.
12.2 All disputes arising from or related to this agreement are resolved in the courts of the Republic of Lithuania in accordance with Lithuanian law.
12.3 The customer confirms that they use the platform and enter into this agreement for business purposes.
12.4 If any provision of this agreement is found to be invalid, it will not affect the validity of the remaining provisions of the agreement. Such an invalid provision will be replaced by another provision that is closest to the invalid provision and best serves the purpose of this agreement.
12.5 Amendments or additions to this agreement are valid only if both parties clearly express their consent electronically or in writing.
